Terms and Conditions

1. Agreement to Terms

By accessing or using the services provided by GotBooked.ai, operated by F.M.A. Congresses Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use our services.

2. Description of Services

GotBooked.ai provides an AI-powered virtual receptionist service ("Mimi") that answers phone calls, qualifies leads, books appointments, sends text messages, and integrates with third-party calendars and CRM systems on behalf of subscribing businesses ("Clients"). End users ("Callers") interact with Mimi when calling or texting a Client's business phone number.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or your business. By subscribing, you represent that all information provided during onboarding is accurate and complete.

4. Subscription Plans and Payments

• All plans are billed monthly on a recurring basis. There are no long-term contracts.
• A one-time setup fee of $2,000 USD is charged at the time of onboarding.
• Overage charges apply when included minutes are exceeded, billed at the rate specified in your plan.
• Text messages are billed at $0.30 per message.
• Unused minutes roll over to the following month.
• All fees are in US dollars and are non-refundable unless otherwise stated in our guarantee.

5. Recovered Booking Guarantee

If Mimi does not recover at least one booking you would have otherwise missed within your first 30 days of service, we will refund the $2,000 setup fee in full. This guarantee applies to the setup fee only and does not apply to monthly subscription charges. The determination of a "recovered booking" is based on call logs and booking data captured by Mimi during the guarantee period.

6. Cancellation

You may cancel your subscription at any time by contacting us. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for partial months. Upon cancellation, call forwarding from your number will be removed and service will cease.

7. Acceptable Use

You agree not to use GotBooked.ai services to:

• Send unsolicited or spam text messages
• Engage in any unlawful, fraudulent, or deceptive activity
• Transmit content that is harmful, threatening, abusive, or harassing
• Violate any applicable laws, including telecommunications regulations, TCPA, CTIA guidelines, or Canadian Anti-Spam Legislation (CASL)
• Misrepresent the nature of AI-generated communications to callers where disclosure is required by law

8. SMS Messaging Terms

• Text messages are sent only to end users who have provided consent, either verbally during a phone call or by texting the business number directly.
• Message frequency varies based on interaction.
• Message and data rates may apply.
• End users may opt out at any time by replying STOP to any message.
• End users may reply HELP for assistance.
• We comply with all applicable A2P 10DLC, TCPA, and CTIA messaging requirements.

9. AI Disclosure

Mimi is an AI-powered virtual assistant. While designed to handle calls naturally and professionally, Mimi is not a human. Clients are responsible for ensuring compliance with any local or industry-specific regulations requiring disclosure of AI or automated systems in customer communications.

10. Third-Party Integrations

Our service integrates with third-party platforms including Google Calendar, CRM systems, and telephony providers. We are not responsible for the availability, accuracy, or performance of third-party services. Your use of third-party integrations is subject to their respective terms of service.

11. Intellectual Property

All content, technology, software, branding, and materials associated with GotBooked.ai are the property of F.M.A. Congresses Inc. You may not copy, modify, distribute, or reverse-engineer any part of our service without written permission.

12. Limitation of Liability

To the maximum extent permitted by law, GotBooked.ai and F.M.A. Congresses Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost revenue, missed appointments, or business interruption. Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.

13. Disclaimer of Warranties

Our services are provided "as is" and "as available." We do not guarantee that the service will be uninterrupted, error-free, or that AI responses will be accurate in all situations. We make no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or non-infringement.

14. Indemnification

You agree to indemnify and hold harmless F.M.A. Congresses Inc., its officers, directors, employees, and agents from any claims, losses, damages, or expenses arising from your use of the service, your violation of these terms, or your violation of any law or third-party rights.

15. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data and the data of your callers.

16. Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Montreal, Quebec.

17. Changes to These Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the service after changes constitutes acceptance of the revised terms.
